These Terms of Use ("Terms") are an agreement between Life Agents, LLC, a Delaware limited liability company, doing business as DealPick ("DealPick," "we," "us," or "our"), and you. They govern your access to and use of the DealPick mobile application, websites, notifications, and related services (collectively, the "Services"). By installing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. The Service

DealPick helps users discover offers, coupons, promotions, price information, and shopping content. We may receive compensation when you click certain links or make qualifying purchases through them; see our Affiliate Disclosure. DealPick is not a retailer, marketplace, payment processor, or party to your purchase from a merchant. Your purchase is made directly with the merchant and is subject to that merchant's terms, policies, pricing, availability, shipping, returns, and customer service.

2. Eligibility and accounts

You must be at least 14 years old to use the Services. Do not use the Services if we previously suspended or prohibited you from doing so. If an account is offered, you must provide accurate information, protect your credentials, and promptly notify us of suspected unauthorized use at feedback@dealpick.ai. You are responsible for activity under your account to the extent permitted by law.

3. Offers, pricing, and merchant content

We try to make deal information useful and current, but it can change without notice. Prices, inventory, coupon eligibility, product details, cashback or rewards availability, and promotion terms are determined by the merchant and may vary by location, account, device, or time. Unless expressly stated by us in writing, DealPick does not guarantee that an offer is available, accurate, complete, or the lowest price. Verify all details at checkout before purchasing. DealPick does not provide financial, legal, tax, medical, or product-safety advice.

4. Third-party links and affiliate relationships

The Services may link to third-party websites, apps, marketplaces, and advertisements. We do not control or endorse those services or their content, products, practices, or availability. Your dealings with a third party are solely between you and that third party. Affiliate links may contain tracking parameters so that a merchant or network can attribute a referral; using such a link may result in a commission to us at no additional cost to you. 5. Acceptable use

You may use the Services for your personal, non-commercial use. You must not:

• violate law or another person's rights
• interfere with, overload, probe, or bypass security or access controls
• scrape, crawl, harvest, index, or use automated means to access the Services without our written consent
• copy, sell, redistribute, or create a competing database from Service content, except as expressly allowed
• submit malware, deceptive content, spam, or fraudulent offers
• impersonate another person or misrepresent an affiliation; or
• use any community feature in violation of our Community Standards.

6. User submissions and feedback

If the Services allow you to submit deals, comments, images, or other materials ("User Content"), you retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, distribute, and use it only to operate, improve, promote, and protect the Services. You represent that you have the rights necessary to grant that license and that your User Content complies with these Terms. We may remove or restrict User Content or accounts that violate these Terms or create risk or harm; we are not required to monitor all User Content.

Feedback you provide may be used by us without restriction or compensation.

7. Intellectual property

The Services, including our software, design, trademarks, and content we create, are owned by or licensed to DealPick and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-sublicensable license to use the Services for personal, non-commercial purposes. No other rights are granted. Merchant names, logos, and product information belong to their respective owners and are used only as permitted by law or agreement.

8. Copyright complaints

If you believe content on the Services infringes your copyright, send a notice to Life Agents, LLC, Attn: Compliance, 800 W. El Camino Real, Suite 300, Mountain View, CA 94040, USA, or compliance@dealpick.ai. Your notice must include the information required by 17 U.S.C. §512(c)(3), including your signature, identification of the copyrighted work and material, contact details, good-faith statement, and accuracy/authority statement under penalty of perjury. We may disable repeat infringers in appropriate circumstances. Counter-notices should contain the information required by 17 U.S.C. §512(g)(3).

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DEALPICK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OFFER WILL BE AVAILABLE OR HONORED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALPICK AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent allowed by law.

11. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless DealPick and its affiliates, officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your User Content, your misuse of the Services, or your violation of these Terms or applicable law.

12. Suspension, termination, and changes

You may stop using the Services at any time. We may modify, suspend, or discontinue any part of the Services, or suspend or terminate your access, when reasonably necessary to protect users, comply with law, address a violation, or operate the Services. We may update these Terms by posting the revised version and changing the “Last updated” date. Material changes will be notified when required by law. Continued use after the effective date means you accept the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts of Santa Clara County, California, except where applicable law provides otherwise. This does not override laws that require a consumer agreement to be governed by the laws of the consumer's country of residence.

14. General

These Terms and the Privacy Policy are the entire agreement regarding the Services. If a provision is unenforceable, the rest remains effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or transfer of assets. App-store providers are not parties to these Terms and have no obligation to provide support; their applicable terms also govern your download and use of the app.
